  • A board meeting is conducted in which the date, day, time and venue of the Extra Ordinary General meeting of its shareholders is fixed.
  • A decision regarding the change in office address is passed in the Extra-Ordinary General meeting.
  • With the Registrar of Companies Form MGT-14 is filed within 30 days from the date of passing the resolution.

According to section 12 of the Companies Act, it is compulsory to keep the registered address of the company, which should be a physical address that is capable of accepting the official communication from Registrar of Companies.

Can I change the Registered Office of the Company?

Yes, the Company is allowed to change the registered office in any part of the country. Nevertheless, the method, procedure, and documents are not the same but depend on whether registered office is being changed within the same city or to another city but within the same state or to another state.

Is the changing of a Registered Office an easy process?

This is entirely based on the case of the changing of the registered office. If the change of registered office is within the same city then it is an easy procedure. Procedure of Change of office within the same state but different city is lengthy than changing the office within same state. However, when the change of office is from one state to another approval of the regional directors having jurisdiction over the Registrar of Companies of both state is required and is a time consuming process.

How to intimate about the change of a registered office to the ROC?

The change of registered office has to be informed to the ROC by submitting a fully filled form INC-22, with which the supporting document in the form of the possession papers/Rent agreement and NOC from the owner should be attached.
