About this service
A partnership can exist without a written deed. It just cannot be defended without one.
A partnership firm is governed by the Indian Partnership Act, 1932, and the deed is the agreement between the partners. Without one, the Act's default rules apply: equal profit sharing regardless of capital, no remuneration for working partners, and no agreed process for admitting or removing anyone. That is rarely what the partners intended.
A usable deed fixes capital contribution, the profit and loss ratio, partner salary and interest on capital, banking and signing authority, the duties of each partner, how accounts are kept, how a partner is admitted or retires, what happens on death, and how disputes are resolved. Income tax also allows a deduction for partner remuneration only where the deed authorises it.
We draft from your actual arrangement, not a template with names filled in. You tell us who contributes what and who runs what; we ask the questions partners tend to avoid at the start, put the answers in writing, and confirm the stamp paper value your state requires before execution.
