About this service
An MOU is often signed in a hurry and then read very carefully a year later, when the relationship is under strain.
A memorandum of understanding records the understanding between two or more parties: who they are, what they are doing together, who is responsible for what, how money and costs are shared, how long the arrangement runs, and how either side can bring it to an end.
Businesses use MOUs for joint ventures, distribution and channel tie-ups, referral arrangements, co-development, institutional partnerships, and as a step before a full agreement is negotiated. An MOU can be binding, non-binding, or binding only in parts, and that choice needs to be deliberate rather than accidental.
Our in-house team drafts the document around your commercial terms, makes clear which clauses are intended to bind the parties, and covers confidentiality, intellectual property, dispute resolution and termination. Where an MOU is the wrong instrument and a full agreement is what you actually need, we will say so.
